Nebraska LLC Glossary — Key Terms

Biennial Report — Filing ($13) required every two years (April 1, odd years) with the Nebraska Secretary of State confirming LLC information. NOT a financial report.

Certificate of Organization — The formation document that creates a Nebraska LLC. Filed with the Secretary of State ($105 online). Nebraska's equivalent of "Articles of Organization" used in other states.

Designated Office — A physical street address in Nebraska where LLC records are maintained. Required in the Certificate of Organization.

LB 754 — Nebraska legislation (2022) establishing phased reductions in state income tax rates. Top rate decreasing from 6.84% toward approximately 3.99%.

Nebraska Uniform Limited Liability Company Act — The state statute governing all LLC formation, operation, and dissolution in Nebraska.

Operating Agreement — Internal governing document recognized under the Nebraska Uniform LLC Act. Not filed with the state. Overrides statutory defaults for member relations.

Pass-Through Entity — Tax classification where LLC income "passes through" to members' personal returns. No entity-level Nebraska income tax for pass-through LLCs.

Registered Agent — Individual or entity designated under the Nebraska Uniform LLC Act to receive service of process and official correspondence. Must have physical Nebraska street address.

Sales Tax Permit — Registration with the Nebraska Department of Revenue required before making taxable sales. Free to obtain.

Series LLC — NOT available in Nebraska. A multi-series structure offered by some other states.
